Agent Success Manager Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the website located at www.agentsuccessmanager.com (the “Site”) and any services, content, or materials offered by Digital Funnelmentals Corp, doing business as Agent Success Manager (“ASM,” “we,” “us,” or “our”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.

1. Eligibility

You must be at least 18 years of age to use the Site. By using the Site, you represent and warrant that you are 18 or older and have the legal capacity to enter into these Terms.

2. Use of the Site

You may use the Site for lawful, personal, or internal business purposes only. You agree not to:

• •Transmit any virus, malware, or other harmful code

3. Intellectual Property

All content on the Site — including text, graphics, logos, images, videos, software, training materials, prompts, templates, and other materials (collectively, “Content”) — is the property of ASM or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and its Content for your personal or internal business use. You may not copy, modify, distribute, sell, lease, publish, or create derivative works of any Content without our prior written consent.

The names “Agent Success Manager,” “ASM,” and “Digital Funnelmentals Corp,” together with associated logos, are trademarks of ASM. You may not use these marks without our prior written consent.

4. Training Materials

Any free training content, guides, templates, prompts, or other resources made available through the Site are provided for your personal or internal business use. You may not resell, redistribute, or publish these materials as your own.

5. User Communications and Submissions

Any feedback, suggestions, or ideas you submit to us (collectively, “Submissions”) are non-confidential. You grant ASM a royalty-free, worldwide, perpetual, irrevocable license to use, reproduce, modify, and exploit your Submissions for any purpose, without compensation or attribution.

6. Third-Party Services

The Site may contain links to or integrations with third-party websites, services, or resources. We are not responsible for the availability, content, or practices of third parties, and your use of them is at your own risk and subject to their terms.

7. Disclaimer of Warranties

The Site and Content are provided on an “as is” and “as available” basis without warranties of any kind, either express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy. We do not warrant that the Site will be uninterrupted, error-free, or free of viruses or harmful components.

Any AI-related training, agents, prompts, or workflows referenced on the Site are educational in nature. We make no guarantee of specific business results, financial gain, or productivity improvements from their use.

8. Limitation of Liability

To the maximum extent permitted by law, in no event shall ASM or its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation lost profits, lost data, or loss of goodwill, arising from or related to your use of or inability to use the Site, even if we have been advised of the possibility of such damages.

Our total cumulative liability for any claim arising from or related to these Terms or the Site shall not exceed one hundred U.S. dollars ($100).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so some of the above limitations may not apply to you.

9. Indemnification

You agree to defend, indemnify, and hold harmless ASM and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Site, your violation of these Terms, or your violation of any law or third-party right.

10. Termination

We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including if we believe you have violated these Terms. Upon termination, the provisions that by their nature should survive — including intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution — will continue to apply.

11. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict of laws principles.

12. Dispute Resolution; Arbitration; Class-Action Waiver

Please read this section carefully. It affects your legal rights.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Site shall be resolved by binding individual arbitration administered by JAMS pursuant to its Streamlined Arbitration Rules. The arbitration shall take place in Orange County, California, and the arbitrator’s decision shall be final and binding.

Class-Action Waiver. You and ASM agree that each may bring claims against the other only in your or its individual capacity and not as a plaintiff or class member in any purported class or representative proceeding. The arbitrator may not consolidate more than one person’s claims and may not preside over any form of representative or class proceeding.

Exceptions. Notwithstanding the foregoing, either party may bring (a) an individual action in small-claims court, or (b) an action seeking injunctive relief for actual or threatened infringement, misappropriation, or violation of intellectual property rights.

Venue. To the extent any claim is not subject to arbitration, you and ASM agree to the exclusive jurisdiction and venue of the state and federal courts located in Orange County, California.

Opt-Out. You may opt out of this arbitration agreement by sending written notice to hello@agentsuccessmanager.com within 30 days of first agreeing to these Terms. Your notice must include your name and a clear statement that you wish to opt out of arbitration.

13. Changes to These Terms

We may modify these Terms from time to time. The “Effective Date” above indicates the most recent revision. We will provide notice of material changes by posting the updated Terms on the Site at least 30 days before they take effect, where reasonably practicable. Your continued use of the Site after the Effective Date of the updated Terms constitutes your acceptance.

14. Miscellaneous

• •Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and ASM regarding your use of the Site.
• •Severability. If any provision is held unenforceable, the remaining provisions will remain in full force.
• •No Waiver. Our failure to enforce any provision will not be considered a waiver of that provision.
• •Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms freely.
• •Notices. Notices to ASM should be sent to the address below. Notices to you may be sent via the email on file or via posting on the Site.
